Governance Structure

The Council/General Assembly

 This is the Undugu core stakeholders’ forum that acts as the supreme decision making organ of the organization. It is responsible for approving major policy proposals and decisions of the Board of Directors, approving the organization’s public disclosure reports, electing and confirming elections of the Board of Trustees and Board of Directors and approving the reports of the two Boards. The Council/General Assembly approves annual and audit reports of the organization tendered before it by the Board of Directors and also approves the nomination of Undugu’s external auditors upon recommendation of the same Board. The Council also considers and approves the reports and recommendations of the Board of Trustees and acts as the ultimate sanction against any excesses of the Board of Directors and Board of Trustees.

Board of Directors

This is the premier governance organ of Undugu, responsible for Policy direction, monitoring of policy implementation by the secretariat, and overall oversight on administrative financial and program management at the secretariat. Reporting and accountable to the Council (General Assembly), the Board of Directors is led by an elected non-executive Chair and sits on quarterly basis for scheduled policy and decision review and planning meetings, as well as works through Board Committees as appropriate. The Board of Directors recruits, supervises, supports and appraises the Executive Director of Undugu and acts as the Court of Appeal on all matters concerning human resources management and staff welfare of the organization.

Board of Trustees

This is a special governance organ of Undugu specifically responsible for safeguarding all of the organization’s assets. The Board of Trustees works with the technical support of the office of the Executive Director and in consultation with the Board of Directors to ensure that all of Undugu’s assets are safeguarded and protected from risk, and renders a report on the state of these assets and relevant advice to the Council/General Assembly on an annual basis.
